These Terms of Service ("Terms") are an agreement between you and KKDN Inc. ("Beat'em," "we," "us," or "our"), a company incorporated in Ontario, Canada. They govern your use of the Beat'em website and application (the "Service"). By creating an account or using the Service, you agree to these Terms.
You must be at least 18 years old to use Beat'em. By using the Service, you confirm that you're 18 or older and that you have the legal authority to sell the items you list.
You're responsible for keeping your login credentials secure and for everything that happens under your account. Tell us right away if you think someone else has accessed your account without permission. You're responsible for the accuracy of the information you provide, including the items and marketplace accounts you connect.
Beat'em works by connecting to marketplaces you already sell on — currently Poshmark, eBay, and Depop. When you connect an account, you're authorizing Beat'em to act on your behalf on that platform: importing your listings, creating new ones, syncing sales, and running the automations you turn on (sharing, offers, relisting, and similar).
You're still responsible for following each marketplace's own rules and terms of service. Beat'em is a tool — it doesn't guarantee that any marketplace will approve your listings, that automations will always run exactly as expected, or that a marketplace won't change its own rules, fees, or API access in ways that affect how Beat'em works. If a marketplace suspends or restricts your account, that's between you and that marketplace; Beat'em isn't responsible for actions taken by third-party platforms.
Beat'em's automations — including sharing, sending offers, accepting or countering offers, relisting, and AI-generated listing content — act on your behalf automatically, without a person reviewing each individual action before it happens. You're responsible for configuring, monitoring, and reviewing what your automations and AI-generated content produce, including before a listing goes live.
Beat'em doesn't guarantee that AI-generated descriptions, categories, prices, or other listing details are accurate, or that any automation will behave exactly as configured. This applies even where the error results from a bug, defect, or malfunction in the Service itself: to the fullest extent the law allows, Beat'em isn't liable for losses caused by an automation or AI-generated content acting incorrectly, whether the cause is your configuration, a marketplace change, or an error in the Service.
Some features require a paid plan or AI credits. Billing is handled by a third-party payment processor acting as merchant of record, and by using a paid plan you also agree to their terms. Subscriptions renew automatically until you cancel. Except where required by law, payments are non-refundable, including for partial billing periods or unused credits.

You keep ownership of your product photos, descriptions, and listing content. By using Beat'em, you give us permission to process that content — including sending it to AI providers — to generate descriptions, categorize items, and perform the other functions of the Service. You're responsible for making sure you have the right to use and sell the content and items you upload.
Beat'em, including its software, design, and branding, belongs to KKDN Inc. Nothing in these Terms gives you rights to our intellectual property beyond using the Service as intended.
Poshmark, eBay, Depop, Mercari, and Vestiaire Collective are trademarks of their respective owners. Beat'em is an independent tool and is not endorsed by, certified by, sponsored by, or affiliated with any of them. Where we name a marketplace, we do so only to identify the platform our Service works with — no claim of ownership, partnership, or endorsement is made or implied, and these Terms grant you no right or licence to use those marks.
Beat'em is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We work hard to keep things running smoothly, but we don't guarantee the Service will be uninterrupted, error-free, or compatible with every change a marketplace makes. We don't guarantee any particular sales results, listing approval, or automation outcome — those depend on factors outside our control, including the marketplaces themselves.
We don't guarantee against loss of your listing, inventory, or account data, whether caused by a bug, an interruption in service, a marketplace's own API or policy changes, or another cause. We recommend keeping your own records of your inventory and listings outside the Service.
To the fullest extent the law allows, KKDN Inc. isn't liable for indirect, incidental, or consequential damages arising from your use of the Service — including lost profits, lost sales, lost or corrupted data, or marketplace account actions taken against you. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim arose.
You agree to cover our reasonable costs and damages if a claim arises from your misuse of the Service, your violation of these Terms, or your violation of a marketplace's own terms.
You can stop using Beat'em and delete your account at any time. We can suspend or terminate your access if you violate these Terms, or if we discontinue the Service. We may also modify, suspend, or discontinue any part of the Service at any time, with or without notice, without liability to you. See our Privacy Policy for what happens to your data after your account is closed.
Beat'em isn't responsible for delays or failures in the Service caused by events outside our reasonable control, including outages or changes at a marketplace or other third-party provider, internet or hosting infrastructure failures, natural disasters, or similar events.
If a dispute comes up that we can't resolve informally, you and KKDN Inc. agree to resolve it through binding individual arbitration rather than in court, and you waive any right to bring or participate in a class action. This doesn't apply to small claims court matters or to either party seeking injunctive relief to protect intellectual property.
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.
We may update these Terms from time to time. If we make a material change, we'll let you know (for example, by email or an in-app notice). Continuing to use Beat'em after a change means you accept the updated Terms.
